Terms of Service

1. Agreement to Terms

By accessing the Platform, registering for an account, starting a free trial, or purchasing a subscription, you confirm that you:

• Are at least 18 years of age
• Have read, understood, and agree to these Terms in their entirety
• Have read and acknowledged our Compliance Notice regarding the high-risk nature of options trading
• Are legally permitted to use financial services and trading-related tools in your jurisdiction
• Are solely responsible for any trading decisions you make based on content provided through the Platform

2. Important Risk Disclosure

The following disclosures are material to your use of VIXShield and must be read carefully:

• Not an Investment Advisor: VIXShield and Russell Clark are not registered as investment advisors, broker-dealers, commodity trading advisors, or members of any self-regulatory organisation (SRO). Nothing on this Platform constitutes a personalised recommendation to buy, sell, or hold any security or financial instrument.
• Educational Signals Only: The signals (including Iron Condor strikes, EDR readings, ALVH hedge recommendations, and Theta Time Shift levels) are generated by a systematic, rules-based methodology derived from published SPX Mastery books. They are provided as educational examples of the methodology in action — not as directives to trade.
• Substantial Risk of Loss: Options trading involves leverage and substantial risk of loss, including potential losses exceeding your initial investment. The ALVH hedge strategy reduces risk in backtested scenarios but does not eliminate the possibility of losses in live market conditions.
• No Guarantee of Results: Any historical performance data, backtested results, example trades, or projected outcomes are hypothetical and are provided for illustrative purposes only. Past performance is not and cannot be a guarantee of future results. Actual results will vary.
• Consult a Professional: Before making any investment or trading decision, you should consult a licensed and qualified financial advisor who understands your individual financial situation, risk tolerance, and investment objectives.

3. Platform Description

VIXShield provides subscribers with access to:

• Daily and weekly options trading signals generated by the SPX Mastery methodology (Iron Condors, ALVH hedges, Theta Time Shift levels)
• AI-generated daily market podcasts (Morning Outlook and Market Close)
• A member dashboard with signal history, tier breakdowns, and educational content
• A referral program allowing members to earn commissions by inviting others
• Access to educational resources and the SPX Mastery book series reference materials

4. Subscriptions and Payments

• Subscription Plans: VIXShield offers subscription plans (Basic, Pro, Premium, Platinum) billed on a monthly or annual basis at the rates displayed on our pricing page at the time of purchase.
• Free Trial: New subscribers may be eligible for a 7-day free trial. Trials automatically convert to a paid subscription at the end of the trial period unless cancelled before the trial ends. We will send a reminder email before the trial ends.
• Payment Processing: All payments are processed by Stripe, Inc. You authorise Stripe to charge your designated payment method on the billing schedule applicable to your plan. By providing your payment information, you agree to Stripe's Terms of Service.
• Cancellation: You may cancel your subscription at any time through your account dashboard or by contacting us at support@vixshield.com. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial billing periods except as required by applicable law or in our sole discretion for exceptional circumstances.
• Price Changes: We reserve the right to modify subscription prices. We will provide at least 30 days' advance notice of any price increase via email. Your continued subscription after the effective date of a price change constitutes acceptance of the new price.
• Failed Payments: If a payment fails, we will attempt to process the charge again. Repeated failed payments may result in suspension or termination of your account.

5. Intellectual Property

All content, materials, signals, methodologies, software, algorithms, and branding on the Platform are the exclusive intellectual property of VIXShield and/or Russell Clark. This includes, without limitation:

• The EDR (Expected Daily Range) indicator and its application to SPX Iron Condor strike selection
• The ALVH (Adaptive Layered VIX Hedge) strategy and its implementation logic
• The Theta Time Shift recovery and roll methodology
• All daily and historical signals, strike levels, and market commentary
• All podcast scripts, audio recordings, and AI-generated market summaries
• The VIXShield brand name, logo, and visual identity
• All SPX Mastery educational content and references

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal, non-commercial use. You may not reproduce, redistribute, resell, reverse-engineer, publicly display, or create derivative works from any content on the Platform without our express written consent.

6. Prohibited Conduct

You agree not to:

• Share, redistribute, or resell access to the Platform or its signals to third parties
• Scrape, copy, or systematically extract signal data, pricing information, or content from the Platform
• Use the Platform for any unlawful purpose or in violation of any applicable regulations
• Misrepresent the Platform, its signals, or its performance to others
• Impersonate VIXShield, Russell Clark, or any other user
• Attempt to gain unauthorised access to the Platform's systems or other users' accounts
• Use the Platform in any way that could damage, disable, overburden, or impair our infrastructure

7. Referral Program

VIXShield offers a referral program that allows subscribers to earn commissions by referring new paying subscribers.

• Eligibility: Active subscribers with a valid referral code are eligible to participate.
• Commission Rates: Commission rates vary by subscription tier (Basic, Pro, Premium, Platinum) and referral level (direct referrals and second-level referrals). Current rates are displayed in your dashboard under "Refer & Earn."
• Payment: Commissions are processed via Stripe and paid out monthly. Commissions are subject to a minimum payout threshold and may be reversed if a referred subscription is refunded or disputed.
• Compliance: All referral activity must be truthful and compliant with applicable laws. You may not make false claims about VIXShield's performance, capabilities, or earnings potential in referral communications. Any violation of this provision may result in immediate program termination and forfeiture of unpaid commissions.
• Modification or Termination: We reserve the right to modify or discontinue the referral program at any time with reasonable notice.

8. Disclaimer of Warranties

THE PLATFORM AND ALL CONTENT, SIGNALS, AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VIXSHIELD EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
• WARRANTIES THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS
• WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF ANY SIGNAL, DATA, OR CONTENT
• WARRANTIES THAT ANY SIGNAL WILL BE PROFITABLE OR APPROPRIATE FOR YOUR FINANCIAL SITUATION

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, VIXSHIELD, ITS OPERATORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES
• LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES
• ANY DAMAGES ARISING FROM TRADING DECISIONS MADE BASED ON SIGNALS, CONTENT, OR EDUCATIONAL MATERIAL PROVIDED THROUGH THE PLATFORM
• ANY DAMAGES RESULTING FROM PLATFORM OUTAGES, DELAYED SIGNALS, OR TECHNICAL FAILURES

IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS RELATING TO THE PLATFORM EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO VIXSHIELD IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN SUCH JURISDICTIONS, THE ABOVE EXCLUSIONS MAY APPLY ONLY TO THE EXTENT PERMITTED BY LAW.

10. Indemnification

You agree to indemnify, defend, and hold harmless VIXShield, Russell Clark, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Platform; (b) your breach of these Terms; (c) any trading decisions you make based on Platform content; or (d) your violation of any applicable law or regulation.

11. Termination

We reserve the right to suspend or terminate your account and access to the Platform at our sole discretion, without prior notice, for any reason including but not limited to:

• Breach of these Terms
• Fraud, abuse, or misuse of the Platform
• Chargebacks, payment disputes, or non-payment
• Conduct that may harm other users, third parties, or the reputation of VIXShield

Upon termination, your right to use the Platform ceases immediately. Sections of these Terms that by their nature should survive termination (including risk disclosures, intellectual property provisions, disclaimers of warranties, limitations of liability, and governing law) shall survive.

12. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Tennessee, United States of America, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be resolved exclusively in the state or federal courts located in Tennessee. You consent to personal jurisdiction in such courts and waive any objection to such jurisdiction or venue.

Notwithstanding the foregoing, VIXShield reserves the right to seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property or confidential information.

13. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy and Compliance Notice, constitute the entire agreement between you and VIXShield regarding your use of the Platform and supersede all prior agreements or understandings.
• Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
• No Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Assignment: You may not assign your rights under these Terms without our prior written consent. We may assign our rights to any successor in interest.
• Headings: Section headings are for convenience only and have no legal effect.

14. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page (with a revised effective date) and, for significant changes, by sending an email notification to registered users. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Platform and cancel your subscription.
